Roll-up merger: definition & how it works

Ketan works as an investment banker, while Nitin is new to the financial world. Nitin intends to open a brokerage account and has enlisted the help of a professional friend to teach him the fundamentals of trading and the stock market.

At one point during their interview, they discussed mergers and acquisitions, namely how multinational advertising companies were consolidating and becoming more strategic by roll-up mergers. It was a different word for Nitin, but he was taken aback.

Nitin – Mergers, acquisitions, and rolled-up sleeves are all terms I'm familiar with, so what exactly is a roll-up merger? I hope I understood correctly.

No, it's more than just rolling up the sleeves, Ketan says with a grin. On the other hand, a roll-up acquisition is a mechanism in which a big corporation acquires smaller firms in the same market to gain a strategic edge. Let me give you an example.

Remember ABC Company, which makes acrylic paints and once had a sizable market share. However, several small factories began producing acrylic paints a few years ago because they saw an opening in this market. As a result, while ABC remains the industry leader, revenues and revenue are declining, and it is losing market share to smaller competitors.

As a result, ABC Company intends to purchase or sell several acrylic paint production firms to pool capital, reduce costs, and boost sales and benefits. As a result, they collect money from the public and use a roll-up approach to buy these businesses. Roll-up mergers are the name for these forms of mergers.

Nitin – But do I need to understand anything before I begin trading or investing?

Ketan (Ketan) – Knowing these market terms would aid you in doing proper fundamental research, whether you want to become a long-term value holder or an intraday trader. Can you remember any recent roll-up mergers in India worth mentioning, such as Nitin – Ketan?

Ketan – All right. Let me list the ones that come to mind.

Absolutely. In the year 2019, Reliance Industries alone made 8 acquisitions. The group purchased fynd, Haptik, C-Square, Reverie Language Technologies, Sankhya Sutra Labs, and other small start-up brands.

Nitin exclaims, "Wow!" That's a lot of acquisitions in a single year!

Ketan (Ketan) – It is, in reality. There were 86 acquisition transactions in India between November 2018 and November 2019.

Nitin – Can you explain how this works? What exactly are the steps?

Ketan (Ketan) – That is an excellent question.

Initially, a specialized merger and acquisition team was established by the corporation that wishes to buy or roll up other smaller businesses. Many big companies, in particular, have an in-house M&A unit that is constantly on the lookout for a valuable "catch in the ocean," as it were.

With sophisticated financial modeling and value analysis, M&A teams are adept at designing winning roll-up plans and formulas. They are both excellent negotiators. Then, after the smaller entity finds, the negotiations begin, and the agreement is closed if a mutually acceptable number and conditions are fulfilled.

Nitin – That's fascinating!

Ketan (Ketan) – Keep in mind that a roll-up merger is only referred to as such when it occurs within the same sector. For example, if you're in the telecommunications business and want to diversify by buying a media company, that's not a roll-up approach.

- Nitin

Are there any difficulties or risks associated with roll-up mergers?

Ketan (Ketan) – Since you're combining several companies into one, there has to be one. Also, companies in the same sector have distinct personalities, job cultures, and personalities. When you try to get all of this diversity into one organization, you run into any problems.

- Nitin Who is responsible for seeing a roll-up merger forward, aside from the company's M&A team?
